Terms of Service

You must be at least 13 years old to use CORTEX.

By using the App, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

• You are responsible for maintaining the security of your device and any API keys, credentials, or account connections you configure within CORTEX.
• You are responsible for all activity that occurs through your use of the App, including any actions taken through connected third-party services (Plaid, Tesla, etc.).
• You agree to provide accurate information when configuring the App and connecting external services.
• You are solely responsible for any costs incurred through third-party API usage, including but not limited to voice synthesis, AI processing, and financial data services.

• The CORTEX name, brand, logo, software, and all associated intellectual property are owned by Back to the Basics Movement LLC. All rights reserved.
• You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.
• You retain ownership of any personal data, content, or configurations you input into the App.
• You may not use the CORTEX name, logo, or branding in any manner without prior written consent from the Company.

• CORTEX integrates with third-party services including but not limited to Plaid, Tesla API, Apple HealthKit, and OpenWeatherMap. Your use of these integrations is subject to the respective terms and privacy policies of those services.
• We are not responsible for the availability, accuracy, or reliability of third-party services. If a third-party service experiences downtime or changes its terms, the corresponding features in CORTEX may be affected.
• You are responsible for complying with the terms of any third-party service you connect through CORTEX.

• To the fullest extent permitted by applicable law, Back to the Basics Movement LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App.
• This includes, without limitation, damages for loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.
• Our total aggregate liability for any claims arising from or related to your use of CORTEX shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.
• Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

• CORTEX is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory.
• We do not warrant that the App will be uninterrupted, error-free, secure, or free of harmful components.
• We do not warrant the accuracy, completeness, or reliability of any content, responses, or data provided through the App.

You agree to indemnify, defend, and hold harmless Back to the Basics Movement LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of a third party
• Any actions taken through connected third-party services via CORTEX

• We reserve the right to suspend or terminate your access to CORTEX at any time, with or without cause, and with or without notice.
• You may stop using CORTEX at any time by deleting the App from your device.
• Upon termination, your license to use the App is immediately revoked. Sections 4, 6, 7, 8, 9, 11, and 12 survive termination.

• We may modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date.
• Continued use of CORTEX after changes are posted constitutes your acceptance of the revised Terms.
• If you do not agree with the revised Terms, you must stop using the App.

• These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.
• Any disputes arising from these Terms or your use of CORTEX shall be resolved in the state or federal courts located in Pima County, Arizona. You consent to the personal jurisdiction of these courts.
• Before initiating any legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at the email address below. We will attempt to resolve the dispute within 30 days.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Back to the Basics Movement LLC regarding your use of CORTEX and supersede any prior agreements.
