Terms of Service

These Terms of Service (“Terms”) govern your use of the CORTEX mobile application (“App”) and the website cortexnode.ai (“Website”), operated by CORTEXNODE Inc. (“Company,” “we,” “us,” or “our”).

By downloading, installing, or using CORTEX, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App or Website.

1. Beta and Early Access

CORTEX is currently in active development. You are using an early-access version of the App that may contain bugs, incomplete features, unexpected behavior, or service interruptions. Features may change, be removed, or be paused without notice.

By using CORTEX during its beta or early-access period, you acknowledge these limitations and agree that CORTEXNODE Inc. is not liable for any loss, inconvenience, or data issues arising from early-access use. We appreciate your participation in helping improve the product.

2. Service Description

CORTEX is a personal intelligence application that provides AI-powered assistance, voice interaction, data dashboards, persistent memory, and integrations with third-party services including financial accounts, vehicle systems, weather, health data, and communication platforms.

CORTEX routes requests through our backend servers at api.cortexnode.ai to generate responses and maintain continuity. Response quality depends on the information you provide, the capabilities of connected third-party AI models, and the availability of our infrastructure.

CORTEX is a personal productivity and intelligent assistant tool. It is not a replacement for professional advice of any kind.

3. Eligibility

You must be at least 13 years old to use CORTEX. If you are under 18, you must have the consent of a parent or legal guardian to use the App and purchase subscriptions.

By using CORTEX, you represent that you meet these requirements and have the legal capacity to enter into these Terms.

4. Subscriptions and Billing

CORTEX offers the following optional paid subscription plans:

CORTEX Pro — $19.99 / month or $199.99 / year on cortexnode.ai (Stripe). App Store pricing is shown on the Apple checkout screen and may differ.
CORTEX Operator — $59.00 / month or $499.99 / year on cortexnode.ai (Stripe). Full platform access including Signal Zero CLI, satellite apps, automations, and extended integrations.
CORTEX Babies — $9.99 / month per character via verified Stripe checkout at cortexnode.ai/cortex-babies.

Subscriptions auto-renew monthly unless cancelled at least 24 hours before the end of the current billing period. Billing may be managed through Apple's App Store, Stripe, or another checkout provider clearly shown at purchase. The checkout screen controls the final price, renewal period, included features, cancellation path, and payment terms.

Cancellation

Cancel at any time through the provider used at purchase, such as your Apple ID subscription settings or the Stripe billing portal. Cancellation takes effect at the end of the current billing period. You retain access to paid features until the period ends. We do not issue refunds for unused portions of a subscription period except as required by applicable law or the applicable checkout provider's refund policies.

Free and Beta Access

We may offer free tiers, trial periods, or beta access at our discretion. We reserve the right to modify, limit, or end free access at any time. Beta testers acknowledged as family, founders, or invited testers may receive extended or complimentary access at our sole discretion.

Price Changes

We may change subscription pricing with reasonable advance notice. Continued use after a price change constitutes acceptance of the new price.

Digital Product License (CORTEX Babies)

Each CORTEX Baby character is a downloadable digital companion licensed through an individual monthly subscription unless a checkout page, App Store product page, or bundled plan clearly states otherwise. Access continues while the subscription or included plan is active. Parent or guardian acceptance is required before checkout or app unlock where minors use the product.

Install only from official CORTEXNODE pages, verified Stripe checkout, or the Apple App Store. Do not install from unknown links, copied zip files, unofficial mirrors, or direct messages.

CORTEX Baby characters are companion experiences for entertainment, encouragement, focus cues, and age-appropriate support only. They are not medical, mental health, educational, tutoring, childcare, supervision, legal, financial, emergency, security, or safety monitoring services. Parent or guardian supervision is required for minors.

Subscription Terms

CORTEX Babies, CORTEX Pro, and CORTEX Operator are billed monthly unless otherwise stated at checkout. Subscriptions auto-renew until cancelled. Billed monthly · cancel anytime · access continues while the subscription is active.

Website subscriptions purchased through Stripe can be cancelled through the Stripe billing portal linked from your success email or by contacting support@cortexnode.ai. App Store subscriptions are managed through your Apple ID subscription settings.

Features may vary by device, plan, permissions, and region. Subscription required for ongoing character access outside bundled app plans.

Refund Policy

All sales are final except where required by applicable law. We do not issue refunds for unused portions of a billing period after a charge has processed.

App Store purchases follow Apple's refund policies. Stripe website purchases may be reviewed case-by-case for duplicate charges, failed delivery, or billing errors. Contact support@cortexnode.ai within 14 days of the charge with your receipt and account email.

Cancelling a subscription stops future renewals. It does not automatically refund the current billing period.

Children's Safety Notice

CORTEX Babies are age-appropriate digital companion characters for encouragement, playful interaction, focus cues, and routine support. They are not child-care providers, medical or mental health services, licensed education or tutoring services, emergency services, safety monitoring, or substitutes for parent, guardian, teacher, or professional supervision.

A parent, guardian, or authorized adult must review the product, decide whether it is appropriate for the child, supervise use by minors, and accept these Terms, the Privacy Policy, and the CORTEX Babies legal acceptance before checkout or app unlock.

Do not submit a child's full name, home address, school name, phone number, email address, password, birthdate, exact location, medical details, or private family information into the public CORTEX Babies demo. The public demo blocks common private-detail prompts before chat is sent; if such data is submitted through another path, contact us so we can delete it.

Parent/Guardian Agreement

By purchasing, downloading, enabling, or allowing a minor to use CORTEX Babies, you confirm that you are a parent, legal guardian, or authorized adult and that you accept responsibility for the child's use of the product.

Checkout flows may record legal acceptance metadata, including the acceptance version, timestamp, product selected, and linked Terms, Privacy Policy, and Children's Safety Notice URLs. Current CORTEX Babies legal acceptance version: cortex-babies-parent-guardian-v2-2026-06-02.

5. User Responsibilities and Acceptable Use

You are responsible for maintaining the security of your device, credentials, and API keys configured within CORTEX.
You are responsible for all activity that occurs through your use of the App, including actions taken through connected third-party services.
You agree to provide accurate information when configuring the App and connecting external accounts.
You are responsible for any costs incurred through your own API keys used with CORTEX.
You are responsible for reviewing AI-generated output before acting on it.

You agree not to:

Use CORTEX for any unlawful purpose or in violation of any applicable law or regulation
Attempt to reverse-engineer, decompile, or disassemble the App or its backend systems
Use CORTEX to harass, stalk, threaten, or harm any person
Interfere with or disrupt our servers, infrastructure, or other users
Redistribute, sublicense, or resell access to CORTEX
Use automated scraping or mass-extraction tools against the App or its API
Attempt to circumvent subscription paywalls, access controls, or security measures

6. AI Output — Disclaimers and Limitations

CORTEX provides AI-generated responses for informational and productivity purposes only. AI output may contain errors, inaccuracies, or outdated information. You are responsible for verifying any information before acting on it. CORTEXNODE Inc. does not guarantee the accuracy, completeness, or reliability of any AI-generated content.

Financial Disclaimer

CORTEX may display financial data and provide general observations about your financial picture. This is not financial advice, investment advice, tax advice, or accounting advice. Do not make investment, tax, or major financial decisions based solely on CORTEX output. Consult a qualified financial advisor, CPA, or attorney for professional guidance.

Medical and Health Disclaimer

CORTEX may display health and fitness data and provide general wellness observations. This is not medical advice, clinical guidance, or a diagnostic tool. Do not make health or medical decisions based solely on CORTEX output. Consult a licensed healthcare provider for medical matters. CORTEX is not designed for emergency use — if you are experiencing a medical emergency, call 911 or your local emergency services.

Legal Disclaimer

Nothing provided by CORTEX constitutes legal advice. Consult a licensed attorney for legal matters.

Safety and Emergency Disclaimer

CORTEX is not an emergency response system. Do not rely on CORTEX for emergency communications, safety-critical decisions, or situations requiring immediate human intervention. In any emergency, contact local emergency services directly (e.g., 911 in the United States). CORTEX Babies do not monitor children, detect emergencies, or dispatch help.

Tesla and Vehicle Integration Disclaimer

If you connect a Tesla or other vehicle integration, vehicle commands (climate, locks, charging, location reads, and similar actions) are initiated by you or at your explicit direction only. CORTEXNODE Inc. is not liable for vehicle damage, unintended vehicle state changes, battery or range outcomes, or third-party API failures. Always verify vehicle status before driving. You remain responsible for safe vehicle operation and compliance with traffic laws.

Automation Risk Disclaimer

CORTEX and Signal Zero may execute automations, scripts, file operations, shell commands, or third-party actions at your direction. Automated actions may have unintended effects, including data loss, incorrect sends, or partial execution. Review confirmations, diffs, and previews before approving destructive or outbound actions. You are responsible for actions taken through connected services.

The AI models powering CORTEX are provided by third parties (including Anthropic, OpenAI, xAI, and Groq). Their availability, behavior, and output are subject to their own terms and policies. We are not responsible for changes in third-party model behavior or third-party service outages.

7. Third-Party Services

CORTEX integrates with third-party services including Plaid, Tesla API, Apple HealthKit, Google, Spotify, X, Instagram, ElevenLabs, Twilio, OpenWeatherMap, and AI model providers. Your use of these integrations is subject to their respective terms and policies.
We are not responsible for the availability, accuracy, or reliability of third-party services. Changes to a third party's terms or infrastructure may affect corresponding CORTEX features.
You are responsible for complying with the terms of any third-party service you connect through CORTEX.
Actions taken through connected third-party services (posting, sending messages, executing vehicle commands, financial reads) are performed at your direction. CORTEX is not liable for consequences of those actions.

8. Intellectual Property

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.
You retain ownership of personal data, configurations, and content you input into the App.
You may not use the CORTEX name, logo, or branding without prior written consent from CORTEXNODE Inc.

9. Disclaimer of Warranties

CORTEX is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory.
We do not warrant that the App will be uninterrupted, error-free, secure, or free from bugs or harmful components.
We do not warrant the accuracy, completeness, or fitness for a particular purpose of any content, responses, or data provided through the App.
We are not responsible for any damage to your device, data loss, or other harm resulting from your use of CORTEX.

10. Limitation of Liability

To the fullest extent permitted by applicable law, CORTEXNODE Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App.
This includes, without limitation, damages for loss of profits, data, goodwill, financial loss, or other intangible losses, even if we have been advised of the possibility of such damages.
Our total aggregate liability for claims arising from or related to your use of CORTEX shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless CORTEXNODE Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the App or Website
Your violation of these Terms
Your violation of any rights of a third party
Actions taken through connected third-party services via CORTEX at your direction
Any content you submit or transmit through the App

12. Account Deletion

You may request deletion of your CORTEX account and associated data at any time by:

Using the account deletion option within the App's Settings
Emailing privacy@cortexnode.ai with your deletion request

Account deletion removes your stored data from our servers within 30 days. Some data may be retained longer where required by law or for legitimate business purposes such as fraud prevention. Cancelling your subscription does not automatically delete your account.

13. Termination

We reserve the right to suspend or terminate your access to CORTEX at any time, with or without cause, if we believe you have violated these Terms or pose a risk to the service or other users.
You may stop using CORTEX at any time by deleting the App and cancelling your subscription.
Upon termination, your license to use the App is immediately revoked. Sections 6, 8, 9, 10, 11, and 14 survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of CORTEX shall be resolved in the state or federal courts located in Pima County, Arizona. You consent to the personal jurisdiction of these courts.
Before initiating formal legal proceedings, you agree to contact us at support@cortexnode.ai to attempt informal resolution. We will respond within 30 days.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CORTEXNODE Inc. regarding your use of CORTEX.

16. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated through the App or via email. The “Last Updated” date above reflects the most recent revision. Continued use of CORTEX after changes are posted constitutes acceptance of the revised Terms.
